Dedicated server terms of service

These terms supplement the General Terms of Service and apply specifically to ServerPoint's dedicated server hosting services. In the event of a conflict between these terms and the General Terms of Service, the General Terms of Service shall prevail unless explicitly stated otherwise.

1. Dedicated server

In Plain English: A dedicated server is a physical server reserved exclusively for you. The specific hardware, features, and pricing are set out in your order and sales receipt.

The particular services you choose to be provided by us are set out in your Order, described on the Product Pages, and referred to as the "Dedicated Service." The Dedicated Product features, access speeds and other items you have initially selected are set out on your Sales Receipt.

2. Our responsibilities

In Plain English: We provide the bandwidth you ordered, 24/7 network connectivity, and full administrative access to the server. You won't have physical access to the hardware at the data center.
  1. Sale of Bandwidth - We agree to sell to you the amount of bandwidth specified in your Order.

  2. Connection to Our Network - You have the right to connect to our network, using the Equipment, on a 24 x 7 basis, limited by this TOS.

  3. Access - You will have no physical access to the Equipment. You will have full administrative access to the Equipment.

3. Backup

In Plain English: You can add backup service to your dedicated server, but backups are provided "as-is" and may fail. If something goes wrong with a backup, you need to restore from your own copies.

You may add backup service to your dedicated server. The daily backup is created via a third-party software and is provided on an "as-is" and "as-available" basis. It may be discontinued at any time, and may not always be available. You agree to hold ServerPoint harmless of any backup failures that result from failure of the backup software or any hardware failure that may result in a loss of backups.

In the event that you are not satisfied with the outcome of any Backup, it shall be your obligation to restore your files and data from your own backup.

4. Minimum term

In Plain English: Custom-configured, discounted, or enterprise dedicated servers have a 12-month minimum contract.

There is a 12 month minimum contract on dedicated servers with custom configurations, on servers with discounted pricing and on Colossus Enterprise Dedicated Servers and/or on any other special equipment requested.

5. IPMI, BIOS, and hardware settings

In Plain English: Do not modify the IPMI, BIOS, or motherboard settings on your dedicated server. These are managed by ServerPoint and are essential for us to provide support, perform maintenance, and access the server remotely. Any unauthorized changes that impair our ability to support your server will result in remote hands service fees.

Do not modify IPMI, BIOS, or motherboard settings. The out-of-band management interface (IPMI, iLO, iDRAC, or equivalent), BIOS configuration, and motherboard settings on your dedicated server are managed exclusively by ServerPoint. You must not modify, reconfigure, reset, or tamper with these settings under any circumstances. This includes but is not limited to:

  • Changing, resetting, or disabling IPMI/iLO/iDRAC credentials, network settings, or configurations;
  • Modifying BIOS settings such as boot order, virtualization features, power management, or hardware configurations;
  • Updating or flashing IPMI, BIOS, or motherboard firmware;
  • Changing any motherboard jumper settings or hardware-level configurations;
  • Disabling or reconfiguring any remote management features.

These settings are critical for ServerPoint to provide support, perform maintenance, diagnose hardware issues, and remotely manage your server. Unauthorized modifications may result in loss of remote access, inability to provide support, or server instability.

6. Access requirements and remote hands

In Plain English: Don't lock us out of your server. We need remote access for maintenance and emergencies. If your changes force us to physically touch the server, you'll be charged remote hands fees. We can access your server in emergencies to protect our network.

You must maintain remote access. You are prohibited from making any changes to your server that would prevent ServerPoint staff from remotely accessing the server for maintenance, support, or emergency purposes. This includes but is not limited to:

  • Configuring firewall rules that block our management network;
  • Removing or disabling remote access software required for managed services;
  • Any other configuration that would require physical intervention at the data center.

Remote Hands Fees. If your actions or configurations — including unauthorized modifications to IPMI, BIOS, or motherboard settings as described in Section 5 — require ServerPoint staff to perform physical work on your server (commonly known as "remote hands" service), you will be charged remote hands fees at our then-current rates. These fees apply regardless of whether the physical intervention is caused by your intentional actions, misconfigurations, or failure to maintain remote access. Remote hands services are billed in minimum increments as specified in our fee schedule.

Emergency Access. ServerPoint reserves the right to physically access your server at any time for emergency maintenance, security incidents, legal compliance, or to protect our network and other customers. Such access does not incur remote hands fees unless the emergency was caused by your actions or configurations.

7. Hardware age and end-of-life

In Plain English: Very old servers (10+ years) may need to be retired — we'll give you 90 days notice. We may not have spare parts for servers older than 5 years. If your OS is outdated and your hardware fails, we'll install a current OS on replacement hardware and give you access to your old drives. For unmanaged servers, we provide a replacement with a fresh OS — restoring your data and apps is your responsibility.

Mandatory Server Retirement. ServerPoint reserves the right to require the removal, replacement, or migration of dedicated servers that have reached end-of-life due to age. Servers that are significantly outdated (generally those older than 10 years from manufacture date) may be subject to mandatory retirement. In such cases, ServerPoint will provide reasonable notice (typically 90 days) and work with you to migrate to newer hardware. If you fail to migrate within the specified timeframe, ServerPoint may terminate the service. This policy is similar to our Platform Migration and End-of-Life provisions in Section 6.2.4 of the General Terms of Service.

Spare Parts Availability. ServerPoint is not obligated to maintain spare parts inventory for server hardware that is more than five (5) years old from the original manufacture date. For servers beyond this age:

  • Hardware repairs may not be possible or may be significantly delayed pending parts availability;
  • SLA guarantees for hardware replacement times may not apply;
  • ServerPoint may, at its sole discretion, offer to migrate your data to newer hardware (which may be subject to different pricing);
  • If repair is not possible and you decline migration, your service may be terminated with a prorated refund for any prepaid fees.

Recommendation. We strongly encourage customers with aging hardware to proactively plan for migration to newer systems to avoid service disruptions and benefit from improved performance and reliability.

Legacy Operating System Limitations. If your server's operating system is outdated or no longer supported by the OS vendor, and your server experiences a hardware failure requiring replacement hardware, ServerPoint reserves the right to decline attempts to boot the legacy operating system on the replacement hardware. In such cases, ServerPoint will:

  • Install the old drive(s) as secondary storage in the replacement server, allowing you to access your data;
  • Provide a fresh installation of a current, supported operating system on the new primary drive;
  • Not be obligated to troubleshoot compatibility issues between legacy operating systems and modern hardware.

You are responsible for migrating your data and applications to the new operating system installation.

Unmanaged Dedicated Server Failures. For unmanaged dedicated servers, in the event of a complete hardware failure that cannot be repaired, ServerPoint's sole obligation is to provide a replacement server of equal or greater value with a fresh operating system installation. Specifically:

  • ServerPoint is not obligated to recover, restore, or migrate any data, applications, configurations, or software from the failed server;
  • If the failed drives are recoverable, they may be installed as secondary storage for you to access your data;
  • You are solely responsible for reinstalling and configuring all software, applications, and restoring data from your own backups;
  • The replacement server will be provided with a standard supported operating system installation as specified in our product offerings.
