VPS hosting terms of service

These terms supplement the General Terms of Service and apply specifically to ServerPoint's Cloud VPS hosting services. In the event of a conflict between these terms and the General Terms of Service, the General Terms of Service shall prevail unless explicitly stated otherwise.

1. Cloud VPS description

In Plain English: A Cloud VPS gives you your own virtual server with dedicated resources, but the physical hardware is shared with other customers. You get SSH or RDP access but no physical access to the equipment.

Our Cloud VPS Services is an infrastructure as a service Service for the changing needs of our customers.

2. Our responsibilities

In Plain English: We provide the bandwidth you ordered, 24/7 network connectivity, one IP address (which may change), and remote administrative access. The underlying hardware is shared with other customers.
  1. Sale of Bandwidth - We agree to sell to you the amount of bandwidth specified in your Order.

  2. Connection to Our Network - You have the right to connect to our network, using the Equipment, on a 24 x 7 basis, except as limited by this TOS.

  3. IP Address - We will provide, at no cost to you, one primary IP address by default, which will be subject to change at any time. You have no ownership of the IP addresses provided to you.

  4. Access - You will have no physical access to the Equipment. You will be provided administrative Secure Shell (SSH) or Remote Desktop (RDP) access to your service.

  5. Use - While the Equipment may appear to be dedicated solely to your use, its use will be shared with other customers within the same Equipment.

3. Your responsibilities

In Plain English: You share the physical hardware with other customers. Don't do anything that limits other customers' use of the server, and don't tamper with the virtualization software. Some aspects of shared hosting may affect your experience — that's expected.

Your use of the Equipment is not exclusive. You will take no actions to limit the use of the Equipment by our other customers or other entities in general. You will not alter, nor attempt to alter, mechanisms, including software, implemented by us to facilitate the sharing of a server. You understand that certain aspects of the Cloud VPS Service, designed to facilitate use by multiple parties, may affect your use and administration of the Equipment. You may not terminate this TOS based on the implementation of these features.

4. Access requirements

In Plain English: Don't lock us out of your VPS. We need access for maintenance, support, and emergencies. If your changes force us to intervene manually, you'll be charged support fees.

You are prohibited from making any changes to your VPS that would prevent ServerPoint staff from accessing the server for maintenance, support, or emergency purposes. This includes blocking management interfaces, disabling remote access for managed services, or any configuration that would require manual intervention. If your actions require ServerPoint staff to perform manual intervention, you may be charged support fees at our then-current rates.

5. CPU and resource usage

In Plain English: Your VPS shares the physical CPU with other customers on the same host. You can use your allocated CPU resources freely for normal workloads, but you should not run at full CPU capacity continuously. If sustained high usage affects other customers, we may ask you to optimize or upgrade.

Cloud VPS services operate on shared physical hardware. While each VPS is allocated a specific number of virtual CPU cores, these cores share the underlying physical CPU resources with other customers on the same host server.

Fair use of CPU resources. You are free to use your allocated CPU resources for legitimate workloads, including occasional spikes and periods of higher utilization. However, sustained high CPU usage at or near 100% capacity over extended periods is not permitted, as it can degrade performance for other customers sharing the same physical hardware.

Examples of usage that may require action include:

  • Processes that consume 100% of allocated CPU continuously for extended periods
  • Computational workloads better suited to dedicated server hardware
  • Any usage pattern that consistently impacts the performance of other customers on the same host

What happens if you exceed fair use. If ServerPoint determines that your CPU usage is negatively affecting other customers, we will:

  1. 1. Notify you and provide an opportunity to reduce or optimize your usage;
  2. 2. Recommend upgrading to a larger VPS plan or migrating to a dedicated server if your workload requires sustained high CPU capacity;
  3. 3. Reserve the right to throttle, suspend, or terminate the service if the issue is not resolved within a reasonable timeframe, in accordance with our Acceptable Use Policy.

If your workload requires guaranteed, sustained CPU performance, we recommend our dedicated server plans, which provide exclusive access to physical CPU resources.
